Bookeasy Supplier Terms & Conditions 

This Agreement is between Bookeasy Pty Ltd and its subsidiaries and authorised sub-brands, including Bookeasy Stay and Bookeasy Experiences, of Southport Central 3, Level 3, Suite 30304, 9 Lawson Street, Southport QLD 4215 Australia (Bookeasy) and the Supplier (You). 

Brand Coverage and Interpretation 

For the purposes of this Agreement: 

References to “Bookeasy”, “we”, “us” or “our” mean Bookeasy Pty Ltd, including its authorised sub-brands Bookeasy Stay and Bookeasy Experiences. 

References to accommodation or room terminology shall include equivalent accommodation terminology where the context permits. 

References to experience or tour terminology shall include equivalent experience or tour terminology where the context permits. 

Accommodation operators refers to suppliers using Bookeasy Stay. 

Experience or tour operators refers to suppliers using Bookeasy Experiences. 

Where particular clauses apply specifically to accommodation services or to experiences or tours, those clauses may be identified as applying to the relevant Bookeasy product or sub-brand. 

Operation 

1.1 

Bookeasy provides an online booking and inventory management system enabling suppliers to manage and distribute their products in a web-based environment. Products may also be distributed to third-party systems via the Bookeasy distribution network and agent consoles. 

1.2 

You are an operator of accommodation, tours, experiences or other bookable products and wish to use an online system provided by Bookeasy to manage your inventory, rates and bookings and distribute this information through the Bookeasy distribution network. 

1.3 

You have agreed to use the Bookeasy system and in doing so grant Bookeasy the rights specified in this Agreement. 

Definitions and Interpretation 

In this Agreement, unless expressed or implied to the contrary: 

Agreement
Means this Agreement. 

Activation Date
Means the date you receive access to your Bookeasy console. 

Booking Form
Means the form created by the Bookeasy Technology that is installed on Your website and completed by Customers who book your Inventory online. 

Commencement Date
Means the date that you accept these terms and conditions and complete the Plan. 

Connected
Means distribution through the Bookeasy distribution network. 

Customer
Means anyone who books products using any third-party websites that Bookeasy distributes your inventory and rates to. 

Fees
Means the Fees identified in clause 6 of this Agreement. 

Force Majeure Event
Means a circumstance beyond the reasonable control of a Party which results in a Party being unable to perform its obligations under this Agreement including but not limited to acts of God, storms, earthquakes, floods, acts of war, terrorism, riots and strikes. 

GST Act
Means the A New Tax System (Goods and Services Tax) Act 1999 (Cth). 

GST Law
Means the GST Act and associated legislation. 

Insolvency Event
Includes the filing of an application or petition or appointing a liquidator, receiver or administrator. 

Intellectual Property Rights
Means the rights identified in clause 7 of this Agreement. 

Inventory
Means the products supplied by You including but not limited to: 

  • accommodation rooms 
  • tours 
  • experiences 
  • room or tour types 
  • rates 
  • rate plans or packages 
  • cancellation policies 
  • amendment policies 
  • property or tour features 
  • images 
  • product descriptions 

that You offer to the public through the Bookeasy Database. 

Party
Means a Party to this Agreement. 

Personal Information
Includes information about the parties to this Agreement and any information relating to any Customer. 

Bookeasy Database
Means the electronic storage facility which enables your Inventory to be distributed and published online to distribution channels. 

Bookeasy Technology
Includes all Bookeasy products and services including but not limited to: 

  • Bookeasy Stay 
  • Bookeasy Experiences 
  • other Bookeasy branded technologies. 

Supplier
Means You, the owner or authorised operator of accommodation, tours, experiences or other bookable inventory supplied through the platform. 

Third Party Websites
Means any website that is updated by the Bookeasy Technology including but not limited to: 

  • Bookeasy websites 
  • agent systems 
  • the Bookeasy distribution network. 

Term 

3.1 

Subject to clause 16.4, this Agreement commences on the Commencement Date and continues until expiry of the Plan or termination of this Agreement by either Party giving notice to the other pursuant to clause 11. 

Validation and Provision of Inventory 

4.1 

After you have submitted Your Inventory to the Bookeasy Database, Bookeasy may contact you and make other enquiries to ensure the validity of Your Inventory. Subject to Bookeasy’s satisfaction as to the validity of your details and Inventory, Bookeasy will activate Your Plan and publish Your Inventory on the Bookeasy Database. 

4.2 

If assistance is required to install the Booking Form or connect the Bookeasy Technology to third-party websites selected by you, you agree to provide Bookeasy with applicable usernames and passwords and authorise Bookeasy to install the Booking Form on Your behalf. 

4.3 

If you are unable to provide the details required within seven (7) days from entering into the Agreement, You grant authority to Bookeasy to contact your webmaster or third-party websites to obtain credentials solely for the purpose of installing the Booking Form. 

Obligations of the Parties 

5.1 You must: 

  • ensure the accuracy of Your Inventory supplied to the Bookeasy Database 
  • pay the Fees in clause 6 
  • provide best available rates 
  • honour bookings made 
  • ensure Inventory is not misleading 
  • maintain password security 
  • check reservation systems regularly 

5.2 Bookeasy must: 

  • distribute Inventory via the Bookeasy Database 
  • grant access for management of Inventory 
  • allow payment according to the supplier’s configured payment methods 
  • provide booking confirmations to Customers. 

Fees and Charges 

6.1 

You must pay Bookeasy the monthly Fees invoiced. 

6.2 

Fees will be paid by Credit Card and you authorise Bookeasy to deduct fees. 

6.3 

Invoices will be issued within five (5) working days after the end of the relevant month. 

6.5 

You must notify Bookeasy of discrepancies within seven (7) days. 

6.6 

Bookeasy may debit Fees within fourteen (14) days from the beginning of each month. 

6.8 

Accounts may be suspended for non-payment. 

6.10 

Disputes regarding Fees will be handled under clause 13. 

6.11 

Fees are exclusive of GST. 

6.12 

Outstanding debts may be referred to a debt collector. 

Intellectual Property Rights 

The parties acknowledge that no Intellectual Property Rights are transferred under this Agreement. 

Warranties 

Bookeasy does not warrant uninterrupted operation of the platform and makes no warranties beyond those required by law. 

Suppliers warrant they are authorised to enter the Agreement and provide accurate information. 

Disclaimer and Limitation of Liability 

Bookeasy will not be liable for errors arising from supplier information, third-party system changes, or delays caused by external systems. 

Total liability is limited to one month of Fees. 

Indemnity 

Suppliers indemnify Bookeasy for claims arising from their use of the platform or their supplied Inventory. 

Termination 

Either party may terminate the Agreement with 30 days written notice. 

Bookeasy may suspend accounts in cases of breach or insolvency risk. 

Supplier obligations for existing bookings survive termination. 

Privacy 

Both parties must comply with the Privacy Act 1988 (Cth). 

Dispute Resolution 

Disputes must first be negotiated between parties and may proceed to mediation through the Queensland Law Society.  

Variations 

Bookeasy may update these Terms with notice published on the Bookeasy website. 

Force Majeure 

Neither party is liable for failure to perform obligations due to events beyond reasonable control. 

Governing Law 

This Agreement is governed by the laws of Queensland, Australia. 

Support 

Support and training for Bookeasy Technology is provided in English.
